Please read these Terms and Conditions carefully before accessing or using The Seal platform. By clicking "I Accept" or by accessing and using any part of The Seal platform, you signify your unequivocal agreement to be bound by these Terms and Conditions, which constitute a legally binding agreement between you (the "User" or "Studio") and The Seal / VOE ("The Platform," "We," "Us," or "Our"). If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any services.
Acceptance of Terms and Conditions
Your access to and use of The Seal platform is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By registering for an account, accessing vendor information, or utilizing any features of The Seal, you explicitly confirm that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.
User Identity, Profile Accuracy, and Conflicts of Interest
By registering on The Seal platform, you confirm that the company name, website, and professional email address you provide are accurate, verifiable, and directly connected to your current role with your company. You understand that it is your responsibility to keep this information up to date at all times. If your employment changes or your affiliation with the company ends, you agree to promptly update your profile to reflect your new status. Failure to do so may lead to suspension or termination of your access.
You also acknowledge that if any conflict of interest arises between your company role and your use of The Seal, you must inform the platform without delay. The Seal may, at its sole discretion, close or suspend your account immediately in such circumstances. Continuing to use the platform under an undisclosed conflict can constitute a breach of these Terms and may result in legal liability.
The Seal reserves the right to verify all information provided against publicly available company data or other reliable sources. If false, misleading, or fraudulent details are discovered, your account may be suspended or terminated without notice. Any intentional misrepresentation made to gain unauthorized access to information on The Seal will be considered a serious violation and may expose you to civil or criminal liability, including prosecution, damages, and penalties under applicable law.
Confidentiality and Permitted Use of Information
All data, documents, vendor profiles, and any other material that you access through The Seal platform are strictly confidential and remain the proprietary information of The Seal, VOE, and its participating vendors. You acknowledge that this information is provided to you and your company under a duty of confidentiality and may not be disclosed or used outside the purposes defined by these Terms.
Your use of the platform and its content is limited exclusively to the internal business needs of your registered company, particularly for assessing potential vendor partnerships. Any other purpose is strictly prohibited. This includes, without limitation, redistributing or transmitting information to individuals or third parties who are not registered on the platform, attempting to resell or commercialize the data in any way, sharing your login credentials or granting unauthorized users access to the platform, or creating derivative works, compilations, or analyses intended for external distribution.
You understand that any unauthorized disclosure, reproduction, or misuse of platform information constitutes a serious violation of these Terms. Such actions may result in the immediate suspension or termination of your account and may expose you and your company to legal consequences, including pursuit of damages, reimbursement of legal costs, and any other remedies permitted under applicable law.
Platform Access, Services, and Limitations
The Seal platform provides its core services to studios free of charge, allowing access to vendor listings and related resources without any usage fee. Access to these services, however, is restricted to verified studios only. This verification process is in place to maintain a secure and professional environment, ensuring that the vendors who join the platform can trust the integrity and seriousness of the studios accessing their information.
As a verified studio, you may review vendor data in accordance with these Terms, but vendors themselves will not have access to your company’s confidential information. The only details disclosed to them are your company’s name and/or logo, as further described in Section : Company Identification and Limited Disclosure. This limited disclosure is designed to provide transparency while safeguarding your privacy and protecting your company’s proprietary data.
Company Identification and Limited Disclosure
In order to maintain transparency and trust between registered studios and vendors, you acknowledge and agree that The Seal and VOE may disclose the identity of your company to vendors on the platform. This disclosure is limited in scope and relates solely to your company’s name and corporate identity, so that vendors are able to verify which studios are accessing their information in a secure and accountable manner. This authorization also extends, where applicable, to affiliated or subsidiary entities connected to your organization.
From time to time, The Seal may include elements of participating companies’ identities within selective B2B communications or promotional materials, solely for the purpose of demonstrating the caliber and seriousness of the verified studios that form part of our community. These uses are minimal and non-intrusive, designed only to enhance overall confidence in the platform’s professional environment.
At no point will any personal details about individual users—such as names, job titles, or contact information—be shared with vendors or external entities. The disclosure is strictly limited to corporate identity elements in accordance with the framework set out above.
Account Management and Termination
If at any time you wish to close your account on The Seal platform, you may submit a request to our support team by email. Upon receiving such a request, we will process the closure of your account within a reasonable period, generally not exceeding ten (10) business days.
Please note that the termination of an account does not affect any communications, promotional references, or materials in which your company’s identity may already have been included prior to the closure request. Those past actions remain valid and unaffected, as they reflect the temporal reality of platform activities at the time they were produced.
User Representations and Warranties
By creating an account and using The Seal platform, you acknowledge that the information you provide during registration is complete, accurate, and reflects your real corporate affiliation. You also represent that you are acting with the necessary authority to register on behalf of your company, and that your participation on the platform is made in good faith and in compliance with your employer’s policies.
This confirmation helps maintain the integrity of The Seal community, ensuring that all studios and vendors interact in a transparent and trustworthy environment. Should any information you provide later prove to be false or misleading, you understand that The Seal may take corrective measures, including suspension of your access, to preserve the reliability of the platform.
Governing Law and Jurisdiction
These Terms and Conditions, and any disputes arising from or related to your use of The Seal platform, shall be governed by and interpreted in accordance with the laws of the State of Delaware, USA, without giving effect to any choice or conflict of law provision or rule. By using this platform, you irrevocably agree that any legal action or proceeding arising out of or relating to these Terms or the platform shall be instituted exclusively in the federal or state courts located in Wilmington, Delaware. You further waive any objection to the laying of venue in such courts and any claim that such courts constitute an inconvenient forum.
